Terms of Service

Plain-English terms covering the marketing site, the AGPL Community Edition of the desktop app, and commercial license purchases.

1. Who we are

"Open Satchel", "we", "us", or "our" refers to the sole proprietorship operated by JayQuan McCleary, based in Kingston, Jamaica. Contact: licensing@opensatchel.dev.

2. The website

You may visit, read, and link to opensatchel.dev. You may not:

  • Use automated means to scrape the site at a rate that meaningfully affects other visitors.
  • Probe, scan, or attempt to compromise the infrastructure. Vulnerability research is welcome — see our security disclosure address.
  • Misrepresent the site as your own or imply a partnership we have not agreed to.

3. The Community Edition (AGPL)

The Open Satchel desktop application is licensed under the GNU Affero General Public License version 3.0 only (AGPL-3.0-only). Your rights and obligations under that license — including source disclosure when you operate a covered network service or distribute modified versions — are governed by the AGPL itself, not by these terms.

The Community Edition is provided "as is", without warranty of any kind, to the maximum extent permitted by applicable law. We do not commit to any service level, response time, or fitness for any particular purpose for AGPL users.

4. Commercial licenses

If you purchase a commercial license (Nonprofit, Small organization, Mid-market, Large organization, Engine SDK, Source engine, OEM, or any other tier listed on our licensing page), the specific terms of that license — scope of use, support level, deliverables, term length — are governed by the license agreement you sign or click-accept at purchase.

Commercial licenses are non-exclusive, non-transferable, and limited to the entity named in the order. They do not grant rights AGPL doesn't already grant unless the agreement says so explicitly.

5. Pricing and payment

Prices on the licensing page are quoted in US dollars and are subject to change. We honor the price you see at the moment of purchase for the term you purchase.

Self-serve commercial licenses are processed by Lemon Squeezy as Merchant of Record. Lemon Squeezy collects payment, calculates and remits applicable VAT/GST/sales tax based on your billing location, and issues the receipt. Engine and OEM tiers are typically invoiced via wire transfer.

6. Refunds

Refund eligibility is governed by our Refund Policy. Self-serve annual licenses include a 30-day satisfaction guarantee. Engine and OEM tiers are governed by the signed agreement and generally non-refundable once delivery has occurred.

7. Renewal and lapse

AGPL rights do not expire — the Community Edition is yours under AGPL terms regardless of any commercial relationship.

For commercial licenses: the version installed during an active term continues to function for existing licensed users after the term ends, but updates, support, new deployments, and the non-AGPL grant outside the active term cease unless renewed. SDK, source, and OEM tiers may have additional lapse rules in their signed agreement.

8. Acceptable use of the software

You may not use Open Satchel to violate applicable law, infringe third-party rights, or process content you have no right to process. We do not monitor your usage — but we reserve the right to refuse new commercial licenses, decline renewals, or terminate active agreements (with refund of unused term) if we become aware of misuse.

9. Trademarks

"Open Satchel" and the satchel mark are trademarks of the operator. The AGPL grants you software rights, not trademark rights. Don't name your fork "Open Satchel" or use the satchel mark for unrelated products. Reasonable nominative use ("a fork of Open Satchel") is fine.

10. Disclaimers and liability

To the maximum extent permitted by applicable law:

  • The website and the Community Edition are provided as-is without warranty.
  • We are not liable for indirect, incidental, special, or consequential damages.
  • For commercial license customers, liability is limited to the fees paid in the 12 months preceding the claim, except where a higher limit is required by law or stated in the signed agreement.

Nothing in these terms limits liability that cannot be limited by applicable law (e.g., death, personal injury caused by negligence, or fraud).

11. Governing law

These terms are governed by the laws of Jamaica, without regard to conflict-of-law rules. Disputes that can't be resolved by good-faith conversation will be brought before the courts of Jamaica, except where consumer-protection law in your jurisdiction grants you a non-waivable right to bring proceedings locally.

Commercial license agreements may specify a different governing law and venue for that specific contract.

12. Changes

We may revise these terms. The "Last updated" date above changes when we do. Material changes will be highlighted at the top of the page for at least 30 days. Continued use of the site after changes take effect constitutes acceptance.
